Articles of association of China Pharmaceutical Packaging Association (Draft)

General Provisions

Article 1 the full Chinese name of the association is China Pharmaceutical Packaging Association (abbreviated as CPPA)

Article 2 the association is an industrial and non-profit social organization voluntarily formed by national drugs and food and enterprises and institutions serving drugs and food packaging

Article 3 the purpose of the association is to abide by the national constitution, laws, regulations and relevant national guidelines and policies, abide by social ethics, strive to promote and improve the packaging level of food and drugs in China, and provide services for ensuring people's food safety and drug safety and convenience

Article 4 the competent business unit of the association is the state owned assets supervision and Administration Commission of the State Council, which is under its business guidance. The registration authority of the association is the Administration Bureau of non governmental organizations of the Ministry of civil affairs of the people's Republic of China, which accepts its supervision and administration

Research and Analysis on the impact of poor food packaging on human safety. Organize the exchange of packaging technology and management experience, design evaluation and talent training. Organize and hold national product introduction, trade and order exhibitions, and activate the market of food and drug packaging materials, containers and packaging machinery. Strengthen contact and friendly exchanges with relevant packaging groups and packaging workers at home and abroad, publicize and implement national standards, and draft, approve and publish industry association standards for relevant products according to the needs of industry development

member Article 7 the association accepts unit members and individual members. All food, drugs, drug packaging and related enterprises and institutions with legal personality can become members of the association after voluntary application and approval of the Council of the Association; Individuals with senior professional titles who have made outstanding contributions to the development of food and drug packaging and the work of the association can become individual members of the association after being recommended by the professional committee or the Secretariat of the association and approved by the Council of the association

Article 8 members of the association must meet the following conditions:

(I) support the articles of association of the Association

(II) willing to join the Association

(III) it has a certain impact in the food and drug packaging industry

(IV) obtain the corresponding production and sales license certificate

Article 9 the procedures for members to join the association are:

(I) submit the application for membership to the Secretariat of the association

(II) the Council or the Standing Council welcomes everyone to come to consult and pass

(III) the Secretariat of the association authorized by the Council shall issue the member registration form and membership card

Article 10 members enjoy the following rights:

(-) the right to vote, stand for election and vote of the Association

(II) participate in the activities of the Association

(III) priority to obtain the services of the Association

(4) enjoy the right to criticize, suggest and supervise the work of the Association

(V) voluntary membership and freedom of withdrawal

the legitimate rights and interests are protected by the association Article 11 members shall perform the following obligations:

Article 12 members who withdraw from the association shall notify the association in writing and return their membership cards

if a member does not pay the membership fee or participate in the activities organized by the Association for one year, it will be deemed to withdraw automatically

Article 13 If a member commits a serious violation of the articles of association, it shall be removed from the list by the vote of the Council or the Standing Council

election and dismissal of organizational structure and principals Article 14 the highest authority of the association is the member congress, whose functions and powers are:

(-) to discuss and adopt the formulation or amendment of the articles of Association

(II) election and removal of directors

(III) review the work report and financial report of the Council

(4) decide on termination

(V) decide on the working policies, important tasks and other major matters of the association

Article 15 the member congress can be held only when more than 2/3 of the member representatives are present, and its resolution must be passed by more than half of the member representatives present before it takes effect

Article 16 if the Member Congress needs to be replaced in advance or postponed due to special circumstances, it must be voted by the Council, submitted to the state owned assets supervision and Administration Commission of the State Council for review and approved by the Ministry of civil affairs. However, the extension of the term of office shall not exceed one year

Article 17 the Council is the executive body of the member congress. It leads the association to carry out daily work when the member congress is not in session and is responsible to the member congress

Article 18 the functions and powers of the Council are:

(-) to implement the resolutions of the member congress

(II) elect and dismiss the president, vice president and Secretary General

(III) preparing for the convening of the member congress; Employ Honorary Presidents and consultants

(IV) report work and financial status to the member congress

(V) decide on the admission or removal of members

(VI) decide to establish the administrative body, professional committee and entity of the Association

(VII) decide on the appointment of the Deputy Secretary General of the association and the main principals of each institution

(VIII) lead the work of each institution of the association, listen to and approve the annual work plan, financial budget and implementation of each institution

(IX) formulate and revise the internal management system of the Association

(x) approve the rules and regulations of the bank

(XI) decide on other major matters

Article 19 the Council can be convened only when more than 2/3 of the directors are present, and its resolution can take effect only after more than 2/3 of the directors present vote

Article 20 the Council shall hold a meeting at least once a year. Under special circumstances, it can be held in the form of communication

Article 21 the association shall establish a standing council. When the Council is not in session, it shall exercise the functions and powers in items (1), (3), (5), (6), (7), (8) and (9) of Article 18 and be responsible to the Council (the number of standing directors shall not exceed 1/3 of the number of directors)

Article 22 The Standing Council can be convened only when more than 2/3 of the standing directors are present, and its resolution must be passed by more than 2/3 of the standing directors present before it takes effect

Article 23 The Standing Council shall hold a meeting once a year in the form of communication

Article 24 the president, vice president and Secretary General of the association must meet the following conditions:

(1) adhere to the party's line, principles and policies, and have good political quality

(II) be familiar with the business of the industry and have a great influence in the business field of the Association

(III) the maximum age of the president, vice president and secretary general is not more than 70 years old, and the secretary general is full-time

(IV) healthy and able to work

(V) have not been subjected to criminal punishment of deprivation of political rights

(VI) have complete civil capacity and strong organizational, written and management ability

Article 25 If the president, vice president and Secretary General of the association exceed the maximum age, they must be voted by the Council, submitted to the state owned assets supervision and Administration Commission of the State Council for review and approved by the Ministry of civil affairs before they can take office

Article 26 The term of office of the president, vice president and Secretary General of the association is four years. The term of office of the president, vice president and Secretary General shall not exceed two terms. If the term of office needs to be extended due to special circumstances, it must be approved by more than two thirds of the members of the member congress, submitted to the competent business unit for review and approved by the Association registration and management authority before taking office

Article 27 the president of the association is the legal representative of the association. If it is necessary for the vice president or the Secretary General to act as the legal representative due to special circumstances, it shall be reported to the competent authority for examination and approved by the Association registration authority before acting as the legal representative

the legal representative of the association does not concurrently serve as the legal representative of other groups

Article 28 the president of the association exercises the following functions and powers:

(I) convene and preside over the Council and the Standing Council

(II) check the implementation of the resolutions of the member congress, the Council and the Standing Council

(III) sign relevant important documents on behalf of the association

Article 29 the Secretary General of the association exercises the following functions and powers:

(I) preside over the daily work of the office and organize the implementation of the annual work plan

(II) coordinate the work of various professional committees and entities

(III) nominate the deputy secretary general and the main principals of various administrative bodies, professional committees and entity bodies, and submit them to the Council or the Standing Council for decision

(4) decide on the employment of full-time staff of administrative agencies and entities

(V) submit opinions on the establishment and cancellation of professional committees, representative offices and entities; Submit the development and delisting of members to the Council or the Standing Council for decision

Chapter V asset management and use principles

Article 30 the main sources of funds of the association:

(I) membership fees

(II) donation

(III) government subsidies

(IV) income from activities or services carried out within the approved business scope

(V) interest

(VI) other legitimate income

Article 31 the association collects membership dues in accordance with relevant national regulations

Article 32 the funds of the association must be used for the business scope and career development specified in the articles of association, and shall not be distributed among members

main purposes of funds:

(-) daily office expenses of the Association

(II) wages, welfare, insurance, subsidies and relevant expenses for employing experts of the association staff

(III) necessary meeting, publicity, training and investigation expenses subsidies

(4) expenses for publications and information of the Association

(V) pay international membership fees

Article 33 The association is strictly established
